Welcome to ETHERAPPS Forge! Before you can use this software, you must read and accept the End User Licence Agreement below.

1. Licence Grant

This Software is proprietary to EfficientEther Ltd. Subject to the terms below, EfficientEther Ltd grants you a non-exclusive, non-transferable, revocable licence to install and use the Software SOLELY for legitimate application preservation and deployment purposes. This is NOT open-source software. Commercial redistribution, sub-licensing or any public release of the Software (including any derivative works) requires the prior written consent of EfficientEther Ltd.

4. User Responsibilities

4.1 Licence Verification. YOU are responsible for confirming, WITH THE RELEVANT SOFTWARE VENDOR OR RIGHT-SHOLDER, that you are lawfully entitled to capture, preserve, deploy and/or redistribute each application you process with the Software.

4.2 Compliance. You must comply with (a) the terms of any third-party software licences, (b) all applicable copyright and intellectual-property laws, and (c) any internal corporate policies governing software usage.

4.3 Record-Keeping. Organisations must keep auditable records demonstrating licence compliance for all captured applications.

4.4 Updates & Changes. EfficientEther Ltd may issue updates that change or remove functionality. Continued use constitutes acceptance of such updates.

5. Indemnity

You AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS EfficientEther Ltd, its directors, employees and agents from and against any and all losses, damages, claims, liabilities, costs and expenses (including reasonable legal fees) arising out of or related to: (a) your use or misuse of the Software; (b) any breach of this Licence; or (c) your failure to obtain or verify the necessary permissions or licences from third-party vendors.

7. Disclaimer of Warranties

To the maximum extent permitted by law, the Software is provided "as is" and "without warranty of any kind", whether express, implied or statutory, including (but not limited to) implied warranties of satisfactory quality, fitness for a particular purpose, non-infringement and accuracy. Nothing in this Licence shall limit or exclude (a) any statutory warranties that may not be disclaimed, or (b) liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.

8. Limitation of Liability

Subject to Clause 7.2, EfficientEther Ltd shall NOT BE LIABLE (whether in contract, tort - including negligence - statute or otherwise) for any: (a) indirect, special, incidental or consequential loss; (b) loss of profit, revenue, business, data or anticipated savings; (c) damage to reputation or goodwill; arising out of, or in connection with, your use of (or inability to use) the Software, even if EfficientEther Ltd has been advised of the possibility of such loss. In any event, EfficientEther Ltd's total aggregate liability under this Licence shall not exceed (i) £50, or (ii) the amount you paid (if any) for the Software, whichever is greater.

9. Governing Law and Jurisdiction

This Licence and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by, and construed in accordance with, the laws of England and Wales. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any such dispute or claim.

This Licence is effective until terminated. It will terminate automatically, without notice from EfficientEther Ltd, if you fail to comply with any provision. Upon termination, you must immediately cease all use of the Software and delete all copies. Termination shall not affect any rights, obligations or liabilities accrued prior to termination.

12. Export Control and Sanctions Compliance

You agree not to export, re-export, transfer or use the Software in violation of any applicable export control laws or economic sanctions of the United Kingdom, European Union, United States or any other relevant jurisdiction. By accepting this Licence, you represent that you are not located in, or a national or resident of, any country or territory subject to comprehensive sanctions; and not a person or entity identified on any applicable restricted-party list.

13. Data Protection and Privacy

The Software does not intentionally collect, transmit or process personal data beyond what is strictly necessary for functionality (e.g., error logs or crash reports). Where diagnostic or telemetry data is collected, such data is limited to technical information about the Software's performance and environment, and is processed in accordance with EfficientEther Ltd's Privacy Policy (available on request). You are responsible for ensuring that your use of the Software complies with applicable data-protection and privacy laws in your jurisdiction.

14. Audit Rights

If you are an organisation, EfficientEther Ltd reserves the right, upon reasonable notice and during normal business hours, to request documentation or conduct an audit (remotely or on-site) to verify your compliance with this Licence. You agree to cooperate in good faith with any such audit and promptly remedy any non-compliance identified. EfficientEther Ltd shall bear its own costs of audit unless material non-compliance is discovered, in which case you shall reimburse all reasonable audit costs.

15. Survival of Clauses

The provisions of Clauses 5 (Indemnity), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Governing Law and Jurisdiction), 11 (Termination), 14 (Audit Rights), and this Clause 15 shall survive termination or expiry of this Licence for any reason.

16. Modifications and Discontinuance

EfficientEther Ltd reserves the right to modify, suspend or discontinue the Software (in whole or in part), at any time and without liability, provided that such changes do not materially deprive you of the core functionality purchased. Continued use of the Software following any modification constitutes your acceptance of the Software as modified.

17. High-Risk Use Disclaimer

The Software is not designed or intended for use in hazardous environments requiring fail-safe performance, including but not limited to: nuclear facilities, aircraft navigation or communication systems, air traffic control, life-support machines, or weapons systems, where failure could lead directly to death, personal injury, or severe physical or environmental damage. EfficientEther Ltd expressly disclaims any liability arising from such prohibited use.

18. Force Majeure

EfficientEther Ltd shall not be liable for any delay or failure to perform its obligations under this Licence if such delay or failure results from events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, terrorism, war, civil unrest, labour disputes, governmental actions, power failures, or interruptions of internet or telecommunications services.

19. Language Precedence

This Licence may be translated into other languages for convenience. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall prevail and govern the interpretation of this Licence.
