This Software is proprietary to EfficientEther Ltd. Subject to the terms below, EfficientEther Ltd grants you a non-exclusive, non-transferable licence, terminable only in accordance with Clause 11, to install and use the Software SOLELY for legitimate application preservation and deployment purposes. This is NOT open-source software. Commercial redistribution, sub-licensing or any public release of the Software (including any derivative works) requires the prior written consent of EfficientEther Ltd.
No licence is granted to AppCure EMEA, AppCure DMCC, any AppCure affiliate, or any person obtaining or using the Software on their behalf, unless EfficientEther Ltd has given prior written permission.
4.1 Licence Verification. YOU are responsible for confirming, WITH THE RELEVANT SOFTWARE VENDOR OR RIGHT-SHOLDER, that you are lawfully entitled to capture, preserve, deploy and/or redistribute each application you process with the Software.
4.2 Compliance. You must comply with (a) the terms of any third-party software licences, (b) all applicable copyright and intellectual-property laws, and (c) any internal corporate policies governing software usage.
4.3 Record-Keeping. Organisations must keep auditable records demonstrating licence compliance for all captured applications.
4.4 Statutory Software Rights. Nothing in this Licence restricts any right that applicable law does not permit the parties to exclude or restrict. This includes, where the relevant statutory conditions are met, lawful back-up copying, observing, studying or testing the functioning of the Software, and decompilation strictly necessary to achieve interoperability.
4.5 Updates. EfficientEther Ltd may issue security, maintenance and feature updates. An update will not amend this Licence merely because you install or use it. Changes to this Licence are governed by Clause 16.
This Clause 5 applies only where you obtain or use the Software wholly or mainly for purposes relating to your trade, business, craft or profession. You shall indemnify EfficientEther Ltd against reasonable losses, liabilities and legal costs arising from a third-party claim to the extent caused by your material breach of Clauses 3 or 4, your unlawful use of the Software, or your failure to obtain a licence or permission that you were responsible for obtaining. EfficientEther Ltd must notify you promptly of the claim, take reasonable steps to mitigate its loss, and must not settle the claim in a way that admits liability on your behalf without your prior written consent, not to be unreasonably withheld or delayed. This Clause does not apply to consumers.

7.1 Consumers. If you are an individual acting wholly or mainly outside your trade, business, craft or profession (a "Consumer"), the Software is supplied with the rights and remedies that applicable consumer law requires, including applicable statutory rights concerning digital content. Nothing in this Licence excludes or restricts those rights or remedies.
7.2 Business Users. If you are not a Consumer, then, to the maximum extent permitted by law, the Software is provided "as is" and without warranties, conditions or other terms not expressly stated in this Licence. Any exclusion is subject to applicable law, including any requirement of reasonableness.
8.1 Non-excludable Liability. Nothing in this Licence limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, defective products under the Consumer Protection Act 1987, or any other liability that cannot lawfully be limited or excluded.
8.2 Consumers. If you are a Consumer, EfficientEther Ltd is responsible for loss or damage that is a foreseeable result of its breach of this Licence or failure to use reasonable care and skill. EfficientEther Ltd is not responsible for business losses arising from your use of the Software for commercial or business purposes. Your statutory remedies are unaffected.
8.3 Business Users. If you are not a Consumer, then, subject to Clause 8.1 and to the maximum extent permitted by law: (a) EfficientEther Ltd shall not be liable for indirect or consequential loss, loss of profit, revenue, business, anticipated savings, goodwill or reputation, or loss or corruption of data; and (b) EfficientEther Ltd's total aggregate liability arising out of or in connection with this Licence shall not exceed the greater of £500 and the amount paid or payable by you for the Software during the 12 months preceding the event giving rise to liability. Each limitation in this Clause is subject to any applicable statutory test of reasonableness.
This Licence and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter shall be governed by the laws of England and Wales. If you are not a Consumer, the courts of England and Wales shall have exclusive jurisdiction. If you are a Consumer, this choice of law and jurisdiction does not deprive you of any mandatory protection or right to bring proceedings available under the law of the country in which you live.
This Licence continues until terminated. EfficientEther Ltd may terminate it by written notice if you materially breach this Licence and, where the breach can be remedied, you do not remedy it within 14 days after receiving notice describing the breach. EfficientEther Ltd may terminate immediately by written notice for a material breach that cannot be remedied, including unauthorised disclosure or use of the Software on behalf of a person to whom no licence is granted under Clause 1. Upon termination, you must cease use and delete all copies, except to the extent retention is required by law. Termination does not affect accrued rights or any mandatory rights or remedies available to a Consumer.
You agree not to export, re-export, transfer or use the Software in violation of any applicable export control laws or economic sanctions of the United Kingdom, European Union, United States or any other relevant jurisdiction. By accepting this Licence, you represent that you are not located in, or a national or resident of, any country or territory subject to comprehensive sanctions; and not a person or entity identified on any applicable restricted-party list.
Where the Software collects or transmits diagnostic, telemetry, error-reporting or other information that is personal data, EfficientEther Ltd will provide the required privacy information at or before the time of collection and will process that data in accordance with its Privacy Policy. The Software will not collect non-essential telemetry from a user's device without any consent required by applicable law. You are responsible for ensuring that personal data you choose to process through the Software is handled in accordance with applicable data-protection and privacy laws.
This Clause 14 applies only to organisations. No more than once in any 12-month period, unless EfficientEther Ltd reasonably suspects a material breach, EfficientEther Ltd may give at least 10 business days' written notice requesting records reasonably necessary to verify compliance with this Licence. Verification will ordinarily be conducted remotely. Any on-site audit requires your written agreement as to scope, timing and safeguards, or a court order; this Licence does not itself grant a right to enter premises. An audit must minimise disruption and comply with reasonable confidentiality, security and data-protection requirements. EfficientEther Ltd may use an independent auditor bound by confidentiality. EfficientEther Ltd will bear the audit costs unless the audit identifies a material breach, in which case you shall reimburse reasonable and proportionate costs. Audit information may be used only to verify compliance and enforce this Licence.
The provisions of Clauses 5 (Indemnity), 7 (Disclaimer of Warranties), 8 (Limitation of Liability), 9 (Governing Law and Jurisdiction), 11 (Termination), 14 (Audit Rights), and this Clause 15 shall survive termination or expiry of this Licence for any reason.
16.1 Software Changes. EfficientEther Ltd may modify, suspend or discontinue the Software where reasonably necessary for security, legal, technical or product reasons. Where reasonably practicable, EfficientEther Ltd will give advance notice of a change that materially reduces paid-for core functionality. If such a reduction materially affects the remainder of a prepaid licence period, you may terminate the affected licence and request a pro-rata refund for that remainder, unless the change is required by law or is necessary to address an urgent security risk.
16.2 Licence Changes. EfficientEther Ltd may update this Licence prospectively. A material change will be notified clearly before it takes effect and will not alter accrued rights. Where applicable law requires your agreement, the change will apply only after you expressly accept it. Continued use alone does not waive any mandatory right or make an otherwise unfair term binding on a Consumer.
The Software is not designed or intended for use in hazardous environments requiring fail-safe performance, including but not limited to nuclear facilities, aircraft navigation or communication systems, air traffic control, life-support machines or weapons systems, where failure could lead directly to death, personal injury, or severe physical or environmental damage. You must not use the Software for those purposes. Subject to Clause 8.1 and to the maximum extent permitted by law, EfficientEther Ltd is not liable for loss arising from such prohibited use.
EfficientEther Ltd shall not be liable for delay or failure to perform caused by an event beyond its reasonable control, provided that it takes reasonable steps to mitigate the effect and resumes performance as soon as reasonably practicable. Nothing in this Clause limits any mandatory Consumer right, including a right to a refund where required by law.
This Licence may be translated into other languages for convenience. In the event of any conflict or inconsistency between the English version and a translated version, the English version shall prevail and govern the interpretation of this Licence.
